A Day in the Life As a Senior Corporate Counsel - Corporate and Real Estate, reporting to the VP, General Counsel, you will be responsible for providing legal support and guidance on a wide range of real estate matters, including acquisitions, leasing, development, property management, M&A, corporate governance, and securities compliance as well as other compliance related matters . You will collaborate with internal and external stakeholders to manage and oversee real estate transactions, assist with other corporate matters and other related legal affairs.

What You'll Do Assist with managing real estate purchases and leases, and legal issues arising from real estate to be acquired, real estate currently owned, and leased properties. Assist with coordinating development of real estate, entitlements, zoning issues, and title review, and managing negotiation and drafting of various real estate related agreements and documents.Assist with SEC filings (Section 16 reporting, 10-K and proxy filings) and ensure compliance with new SEC regulations.

Negotiate, draft, and finalize agreements and contracts on behalf of the company, including lease agreements, NDAs, and letters of intent & purchase agreements for assets. Advise on contract issues, legal risks, and the legal liabilities associated with the various agreements and contracts. Draft new, and update existing, contract forms for the company.

Assist with managing mergers and acquisitions, including performing and coordinating due diligence and attending to closing matters and follow up integration work.Assist with managing ESG program and related compliance issues.Offer accurate and timely counsel on a variety of legal issues.

Provide training to the company on legal topics. Advise executives within the company and work alongside other departments within the company to offer advice. Research and anticipate unique legal issues that could impact the company, while synthesizing information and considering stakeholder and business needs, in order to formulate recommendations.

Issue-spot," including identifying and analyzing (through hands-on research as well as input from outside and internal counsel) complex legal and business considerations. Assess and help manage risk.Identify and obtain necessary state registrations and filings for the company's various entities.

Advise and assist various departments and divisions with regulatory compliance, including general corporate issues and corporate structuring.Identify, engage and manage outside counsel to assist with various legal matters.Keep current with developments of the law.

Review pending and upcoming changes to regulations and laws to ensure the company is prepared for future compliance requirements. Develop and communicate impact summaries of future changes.Performs other related duties as assigned.

You may also be involved in customer and vendor contract reviews, regulatory compliance, and legal services procurement and management.We are a small collaborative and team-oriented legal department. We support each other and help cover each other's work as needed; so agility and flexibility are key to every role in the department.

and, from time to time, you may be asked to help out with other legal areas, including M&A, claims, employment, contracts and/or compliance. Must Haves JD required from accredited university.Admitted to and in good standing with a State Bar of a state in the United States.

Minimum of 6 years of legal experience.Sound legal and business judgment. Excellent analytical skills.

Capacity to lead and manage autonomously and as a team member. Ability to work independently and be resourceful.Ability to collaborate and influence across business groups and corporate functions.

Ability to communicate with strong credibility, using excellent written and verbal communication skills. Ability to build trust and confidence with all corporate and division employees. Ability to establish and maintain strong relationships within the organization's legal department and across all businesses.

Skilled at negotiation with third parties.Possesses high integrity, honesty, and trustworthiness. Demonstrates sound judgement and ability to analyze situations and information.

High energy and sufficiently flexible to be able to execute in a fast paced, diverse environment. Ability to manage and prioritize multiple projects. Commitment to detail and accuracy.

Excellent time management, prioritization, and organizational skills.Proficiency in the use of MS Office products, such as Word, Excel and Outlook, Powerpoint, and Adobe Acrobat.Experience with commercial real estate law and corporate law is required.

Experience with M&A, commercial contracts, and entity formation is preferred.Corporate law experience to assist with tasks related to banking, investments, and securities.Experience in corporate contract review and in providing risk assessments and legal advice to businesses.

Experience in managing outside counsel.The position will support projects throughout the country and may require travel Nice to Haves Experience with the 1031 Exchange process, tax code, and Exchange strategies is preferred.Industrial Zoning experience is a plus.

The pay range for this position is $135,000 - $191,400 along with an incentive bonus structure.
